Legal Disclaimer

Effective Date: September 23, 2026

This website is owned and operated by Greyhaven West, LLC and its affiliated entities, including Greyhaven West Property Management, LLC, as applicable. References on this website to “Greyhaven,” “Greyhaven West,” “we,” “us,” or “our” refer to the applicable Greyhaven entity providing the service described. By accessing or using this website, you acknowledge and agree to the following important disclosures and limitations.

1. Nature of Greyhaven’s Business

Greyhaven West is a vertically integrated real estate platform spanning acquisition, operations, asset management, and property management, helping qualified investors identify, evaluate, acquire, own, operate, manage, and ultimately dispose of real estate assets. Greyhaven may provide information on real estate acquisition opportunities, property operations, financing considerations, ownership structures, property-level financial performance, depreciation characteristics, cost segregation opportunities, potential Section 1031 exchange considerations, investor participation opportunities, and other matters related to real estate ownership and operations. Greyhaven may also coordinate with an investor’s independently retained attorneys, certified public accountants, tax professionals, financial advisers, lenders, qualified intermediaries, cost segregation professionals, engineers, brokers, property managers, and other professional advisers. Greyhaven’s role is limited to the services performed by the applicable Greyhaven entity under a written agreement.

2. No Legal, Tax, Accounting, or Financial Advice

The information on this website is provided solely for general informational and educational purposes. Greyhaven is not a law firm and does not provide legal advice. Greyhaven is not an accounting firm or a certified public accounting firm and does not provide accounting advice. Greyhaven does not provide individualized tax advice, prepare tax returns, determine tax liabilities, or determine whether any person qualifies for any deduction, credit, loss treatment, depreciation treatment, tax status, tax election, or other tax benefit. Greyhaven does not undertake to provide comprehensive personal financial planning or advice regarding an investor’s overall financial circumstances or securities portfolio. Each prospective investor and property owner should consult independently selected and qualified legal, tax, accounting, financial, and other professional advisers regarding that person’s individual circumstances before entering any transaction.

3. No Investment Adviser Relationship

Unless expressly stated otherwise in a separate written agreement and permitted by applicable law, Greyhaven does not act as a registered investment adviser or investment adviser representative and does not undertake to provide investment advisory services regarding securities. References on this website to real estate opportunities, property characteristics, acquisition criteria, operating performance, anticipated cash flow, ownership objectives, or other property-related considerations are intended to describe real estate assets and Greyhaven’s real estate acquisition, operating, management, and support services. Nothing on this website should be interpreted as Greyhaven undertaking responsibility for managing a visitor’s overall investment portfolio, securities holdings, financial plan, asset allocation, or wealth management strategy.

4. No Fiduciary Relationship Created by Website Use

Viewing this website, requesting information, attending a presentation, submitting an inquiry, receiving educational materials, or communicating with Greyhaven does not, by itself, create a fiduciary, advisory, agency, partnership, joint venture, attorney-client, accountant-client, or other professional relationship. Any duties undertaken by Greyhaven are limited to those expressly set forth in an applicable written agreement and by governing law. No statement on this website should be construed as creating fiduciary duties beyond those imposed by an applicable written agreement or by law.

5. No Guarantee of Investment Performance

Real estate ownership entails substantial financial and operational risk. Greyhaven does not guarantee investment performance, profitability, cash flow, appreciation, occupancy, rental income, availability or terms of financing, property value, sale price, liquidity, return of capital, timing of disposition, investment returns, or any other economic result. Past performance of a property, investor, transaction, market, manager, or investment strategy does not guarantee future results. Every real estate investment may lose value, and an investor may lose some or all the capital invested.

6. Projections, Estimates, and Forward-Looking Information

Any financial projections, estimated returns, anticipated cash flows, capitalization rates, appreciation assumptions, tax illustrations, operating projections, budgets, market forecasts, examples, or other forward-looking information appearing on this website are estimates only. They are based on assumptions that may prove inaccurate and are subject to economic conditions, interest rates, financing availability, market conditions, tenant performance, operating expenses, taxes, insurance costs, regulatory developments, property conditions, casualty events, management performance, and numerous other factors beyond Greyhaven’s control. Actual results may differ materially from any estimate, illustration, projection, or anticipated result. No person should make an investment decision based solely on a projection or illustration appearing on this website.

7. Tax Benefits Are Not Guaranteed

Real estate ownership may, under appropriate circumstances, create tax attributes or planning opportunities related to depreciation, cost segregation, accelerated depreciation, bonus depreciation, passive activity rules, Real Estate Professional Status (REPS), material participation, short-term rental treatment, Section 1031 exchanges, and other provisions of federal or state tax law. The presence of a potential tax characteristic at the property level does not establish that a particular investor will qualify for or be able to use the corresponding tax treatment. Greyhaven does not guarantee any tax savings or tax result.

Tax treatment depends on each taxpayer’s individual circumstances and may be affected by numerous provisions of federal and state law, including basis limitations, at-risk limitations, passive activity limitations, material participation requirements, business loss limitations, interest deduction limitations, holding periods, ownership structure, income levels, tax elections, changes in law, and other factors. Investors must rely on their own qualified tax professionals to determine the availability, amount, timing, reporting, and consequences of any tax benefit.

8. Real Estate Professional Status

Greyhaven does not determine, certify, represent, or guarantee that any investor qualifies for Real Estate Professional Status under Internal Revenue Code Section 469(c)(7). Greyhaven does not determine whether an investor meets the applicable material participation requirements. Greyhaven does not determine the number or character of hours that will qualify for federal income tax purposes, nor does it determine whether rental real estate losses will be passive or nonpassive.

Greyhaven may provide real estate assets, property and operating information, management infrastructure, and legitimate opportunities for an owner to participate in property operations. Whether any participation satisfies applicable federal or state tax requirements is a determination that must be made by the investor and the investor’s independent tax professionals.

9. Cost Segregation, Depreciation, and Bonus Depreciation

Greyhaven may coordinate access to independent professionals who perform cost segregation studies or provide depreciation information. Greyhaven does not prepare or certify cost segregation studies unless expressly authorized and professionally qualified to do so. Any estimate of depreciation or tax deductions is illustrative only until reviewed and approved by the investor’s qualified tax professionals. The amount, timing, availability, and deductibility of depreciation may vary materially depending on the property, acquisition structure, taxpayer, applicable law, and subsequent disposition of the property. Depreciation may also result in recapture or other tax consequences upon disposition.

10. Section 1031 Exchanges

References to Section 1031 exchanges are for informational purposes only. Greyhaven does not guarantee that any acquisition, disposition, ownership interest, entity interest, replacement property, relinquished property, or transaction will qualify for nonrecognition treatment under Internal Revenue Code Section 1031. Section 1031 eligibility depends on the nature of the property interest, ownership structure, timing, use of the property, identification requirements, exchange procedures, related-party rules, and other transaction-specific circumstances. Investors contemplating a Section 1031 exchange should consult independent tax counsel, a qualified tax professional, and an independent qualified intermediary before undertaking the transaction.

11. Ownership Structures

Real estate may be acquired directly or through various ownership structures, including limited liability companies, partnerships, disregarded entities, tenancy-in-common arrangements, and other structures. Different structures can produce materially different legal, tax, securities, management, liability, financing, and Section 1031 consequences. Greyhaven does not represent that any ownership structure is appropriate for every investor. Investors should obtain independent legal and tax advice regarding the ownership structure appropriate to their circumstances.

12. Securities and Private Offerings

Nothing in the general informational portions of this website should be construed as an offer to sell or a solicitation of an offer to purchase a security unless the communication is expressly identified as relating to a securities offering and is made in compliance with applicable securities laws. Certain ownership interests, including interests in limited liability companies, partnerships, pooled investments, or other investment entities, may constitute securities under federal or state law.

Any actual offer or sale of securities will be made only pursuant to the applicable definitive offering documents and in accordance with applicable federal and state securities laws. Prospective investors must review all applicable offering documents in their entirety before making an investment decision. In the event of any inconsistency between information on this website and the definitive offering documents, the definitive offering documents control. No governmental agency, including the Securities and Exchange Commission or any state securities regulator, has approved or endorsed any investment merely because an offering may qualify for an exemption from registration.

13. Accredited Investor Status

Certain investment opportunities, if any, may be limited to persons who satisfy applicable accredited investor or other qualification standards. Being an accredited investor does not mean an investment has been approved by the Securities and Exchange Commission or any other governmental agency, nor does it eliminate the risks associated with an investment. Where applicable, Greyhaven or an issuer may be required to obtain information or documentation regarding investor qualifications before permitting participation in an offering.

14. Website Information Is Not an Offering Document

Website descriptions are summaries only. The website is not intended to replace due diligence, property inspections, appraisals, environmental reports, title reviews, surveys, financial statements, operating agreements, subscription agreements, private placement memoranda, purchase agreements, loan documents, management agreements, or other governing transaction documents. Prospective investors must review the governing transaction documents before proceeding.

15. No Reliance on Website Information Alone

Users should not rely exclusively on information on this website when deciding whether to acquire, finance, own, sell, exchange, or otherwise participate in a real estate transaction. Users are responsible for independently investigating and verifying information material to their decisions. Greyhaven encourages each prospective investor to conduct independent due diligence and consult appropriate professional advisers.

16. Information May Change

Real estate markets, interest rates, tax laws, securities laws, regulations, property conditions, financing terms, operating costs, and investment opportunities change over time. Information on this website is current only as of the date published or last updated. Greyhaven does not undertake to continuously update every statement on the website, and information may become inaccurate or outdated without notice.

17. No Representation Concerning Future Law

Statements regarding federal or state tax, securities, real estate, or other laws are based on Greyhaven’s understanding of applicable law at the time the information is prepared. Laws, regulations, administrative interpretations, and judicial decisions may change, sometimes retroactively. Greyhaven does not guarantee that any current legal or tax treatment will remain available.

18. Property Management and Licensing

Property management and real estate brokerage activities are performed only by persons and entities authorized to do so under applicable law. Services available in a particular jurisdiction may vary depending on licensing requirements. No statement on this website should be interpreted as representing that Greyhaven or any affiliated person holds a professional license that the person or entity does not actually hold. This point is particularly important in Utah because Utah Code Section 61-2f-201 imposes licensing requirements for property management, including provisions effective January 1, 2027.

19. Referrals to Independent Professionals

Greyhaven may identify or introduce users to lenders, attorneys, accountants, tax professionals, cost segregation providers, qualified intermediaries, brokers, financial professionals, contractors, insurance professionals, property managers, or other third parties. Unless expressly stated otherwise, those persons are independent of Greyhaven. An introduction or referral does not constitute an endorsement, guarantee, or representation regarding the third party’s qualifications, performance, advice, products, services, fees, or results. Users are responsible for independently evaluating any third party before retaining or relying on that person. If Greyhaven or another person receives compensation for a referral, any disclosure required by applicable law will be provided.

20. No Authority of Referral Sources

No CPA, financial adviser, wealth adviser, broker, finder, referral source, marketing partner, employee, contractor, or other third party has authority to make promises or guarantees on Greyhaven’s behalf regarding investment returns, tax savings, REPS qualification, depreciation deductions, Section 1031 eligibility, appreciation, cash flow, or any other investment or tax result unless expressly authorized by Greyhaven in writing. Users should not rely on unauthorized representations.

21. Testimonials, Case Studies, and Investor Experiences

Testimonials, investor statements, case studies, examples, and descriptions of prior transactions reflect experiences and circumstances. They are not guarantees or predictions of another investor’s experience. Individual results vary materially based on property characteristics, acquisition price, financing, leverage, operating performance, market conditions, ownership period, tax circumstances, investor participation, and numerous other factors. Any material relationship between Greyhaven and a person providing an endorsement or testimonial will be disclosed where required by law.

22. Third Party Information and Links

This website may include information from third-party sources and links to websites operated by third parties. Greyhaven does not control third-party websites and does not guarantee their accuracy, completeness, security, availability, or content. A link or reference does not necessarily constitute endorsement or approval of the third party. Users access third-party websites at their own risk and are subject to those websites’ terms of use and privacy practices.

23. Property Information

Property information may come from sellers, brokers, property managers, government records, tenants, contractors, engineers, appraisers, lenders, or other third-party sources. Although Greyhaven may evaluate such information in connection with its services, it does not warrant that all third-party information is complete or free of error. Prospective purchasers and investors should independently verify any information they consider material.

24. Financing

Any discussion of financing, leverage, loan proceeds, interest rates, debt service, loan-to-value ratios, refinancing, or lending relationships is for informational purposes only. Financing is subject to lender underwriting, credit approval, collateral requirements, market conditions, documentation, and other lender requirements. Greyhaven does not guarantee that financing will be available or that it will be available on any terms.

25. Risk of Loss

Real estate investment involves risk. Risks may include changes in property values, vacancies, tenant defaults, casualty losses, environmental conditions, construction costs, unexpected repairs, financing and refinancing risks, interest rate changes, insurance costs, tax increases, governmental regulation, litigation, market conditions, economic recessions, natural disasters, and other circumstances. Investors should be financially able to bear the risks associated with the particular transaction, including the possible loss of invested capital.

26. No Governmental Approval or Endorsement

Neither Greyhaven nor any real estate opportunity described on this website should be understood to have been approved, sponsored, guaranteed, endorsed, or recommended by the Internal Revenue Service, the Securities and Exchange Commission, the State of Utah, or any other governmental or regulatory agency merely because a transaction, entity, filing, exemption, tax provision, license, or regulatory classification is referenced.

27. Intellectual Property

Unless otherwise indicated, the content of this website, including text, graphics, photographs, designs, logos, trademarks, service marks, videos, reports, presentations, and other materials, is owned by or licensed to Greyhaven and protected by applicable intellectual property laws. Website content may not be copied, reproduced, republished, distributed, modified, displayed, transmitted, or commercially exploited without prior written authorization, except as permitted by applicable law.

28. Website Availability and Security

Greyhaven does not warrant that this website will operate without interruption, errors, delays, malicious software, unauthorized access, data loss, or other technological problems. Users are responsible for maintaining appropriate security and backup procedures for their devices and information.

29. No Warranties

To the fullest extent permitted by applicable law, this website and its content are provided for informational purposes without warranties regarding completeness, accuracy, merchantability, fitness for a particular purpose, noninfringement, availability, or any particular result. Nothing in this provision limits any representation, warranty, obligation, or remedy that cannot lawfully be limited or disclaimed.

30. Limitation of Liability

To the fullest extent permitted by applicable law, Greyhaven and its affiliates, managers, members, officers, employees, representatives, and agents will not be liable for losses resulting solely from reliance on general informational website content or from an inability to access or use the website.

31. Privacy and Electronic Communications

Submitting information through this website is subject to Greyhaven’s Privacy Policy. Users should not transmit confidential legal, tax, financial, investment, banking, or other sensitive information through an unsecured website form unless specifically requested via an authorized secure method. Submitting an inquiry does not create a professional, fiduciary, advisory, or contractual relationship.

32. Separate Agreements Control

Any engagement with Greyhaven, including property acquisition, securities investment, property management relationship, referral relationship, or other transaction, will be governed by the applicable written agreements. If information on this website conflicts with a signed contract, offering document, operating agreement, purchase agreement, management agreement, subscription agreement, or other definitive transaction document, the definitive document controls to the extent permitted by law.

33. Geographic Limitations

The availability of Greyhaven’s services may vary by jurisdiction. Nothing on this website constitutes a representation that Greyhaven or any affiliated entity or individual is licensed, registered, or authorized to provide a regulated service in every state or jurisdiction. Greyhaven will perform regulated activities only where and to the extent permitted by applicable law.

34. Changes to This Disclaimer

Greyhaven may revise this Website Disclaimer and Important Legal Disclosures from time to time to reflect changes in its business, website, services, transactions, or applicable law. The effective date at the top of this page should be updated whenever material revisions are made.
